These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Wildsea AI (“Company,” “we,” “our,” or “us”), a web design and AI automation agency operating in the State of Missouri.
By engaging our services, creating a client portal account, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
01Description of Services
Wildsea AI provides the following services to business-to-business (B2B) clients:
- Custom Website Design & Development: Design, development, and deployment of websites using the GoHighLevel platform and related technologies.
- AI-Powered Business Automations: Implementation of workflow automations, CRM integrations, and AI-driven operational improvements.
- Client Portal Access: A secure online dashboard for monitoring project progress, submitting ideas, and managing company profile settings.
- Ongoing Support & Consulting: Technical support and strategic consulting for website performance and operational efficiency.
02Client Obligations
By using our services, you agree to the following:
- Accurate Information: You will provide accurate and complete information, including your business name, phone number, email address, and website URL, and will promptly update any changes.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.
- Lawful Use: You will not use our services for any unlawful purpose, including but not limited to distributing malicious software, engaging in fraud, or violating intellectual property rights.
- Content Responsibility: You are solely responsible for all content, data, and materials you provide to us for inclusion on your website. You represent that you own or have the necessary licenses for all such content.
- Timely Communication: You agree to respond to project-related requests in a timely manner. Delays in providing content, approvals, or feedback may impact project timelines.
03Payment Terms
- Billing: Subscription fees are billed on a recurring monthly basis unless otherwise agreed upon in writing. One-time project fees are billed upon project commencement or as outlined in the project proposal.
- Payment Processor: All payments are processed through Stripe, Inc. By subscribing, you agree to Stripe's terms of service.
- Taxes: All fees are exclusive of applicable sales tax. Missouri state sales tax will be applied where required by law.
- Late Payments: Payments not received within 15 days of the due date may result in suspension of services. Repeated late payments may result in termination of the agreement.
- Refund Policy: Due to the custom nature of our work, all fees are non-refundable once work has commenced. Unused portions of monthly subscriptions are non-refundable upon cancellation.
04Intellectual Property
- Client Content: You retain full ownership of all original content (text, images, logos, branding) you provide to us for use in your website.
- Work Product: Upon full payment, you are granted a non-exclusive, perpetual license to use the website design and custom code created specifically for your project. Wildsea AI retains the right to reuse general design patterns, techniques, and non-proprietary code in future projects.
- Third-Party Software: Websites built on GoHighLevel or other third-party platforms remain subject to those platforms' respective licensing terms.
- Portfolio Rights: Unless you explicitly opt out in writing, we reserve the right to display your completed project in our portfolio and case studies for promotional purposes.
05Limitation of Liability
IMPORTANT: TO THE MAXIMUM EXTENT PERMITTED BY MISSOURI LAW, WILDSEA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.
- Maximum Liability: Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount paid by you to Wildsea AI in the twelve (12) months preceding the claim.
- No Warranty: Our services are provided “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Third-Party Platforms: We are not liable for outages, data loss, or service interruptions caused by third-party platforms including GoHighLevel, Stripe, Clerk, or Supabase.
06Termination
- By Client: You may cancel your subscription or terminate services at any time by providing written notice via email. Cancellation takes effect at the end of the current billing cycle.
- By Company: We reserve the right to suspend or terminate your account and access to our services if you breach these Terms, fail to make timely payments, or engage in conduct that is harmful to our business or other clients.
- Effect of Termination: Upon termination, your access to the client portal will be revoked. We will retain your data in accordance with the data retention schedule outlined in our Privacy Policy.
07Indemnification
You agree to indemnify, defend, and hold harmless Wildsea AI, its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your use of our services; (c) any content you provide that infringes on the intellectual property or other rights of a third party; or (d) any violation of applicable law by you.
08Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict-of-law provisions. Both parties consent to the exclusive jurisdiction of the state and federal courts located in the State of Missouri.
Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue legal remedies available under Missouri law.
09General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wildsea AI regarding the use of our services.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Amendments: We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our services constitutes acceptance of the updated Terms.
